Persistent Systems acquires Nagarro
Persistent Systems has announced an agreement to acquire German digital engineering company Nagarro SE in an all-cash transaction valued at approximately €1.1 billion, marking one of the largest overseas acquisitions by an Indian IT services company.
The proposed acquisition, which offers Nagarro shareholders €81 per share in cash, represents a significant premium over the company's previous market valuation. The transaction is subject to customary regulatory approvals and shareholder acceptance before it can be completed.
A Strategic Move into Europe
Headquartered in Pune, Persistent Systems has steadily expanded its global presence over the past decade. The planned acquisition of Munich-based Nagarro is expected to significantly strengthen the company's footprint across Europe while enhancing its capabilities in digital engineering, artificial intelligence (AI), enterprise resource planning (ERP), cloud services, and customer experience solutions.
Nagarro employs approximately 18,500 professionals across multiple countries and reported around €1 billion in revenue during 2025. The company serves a broad portfolio of enterprise customers, including major automotive manufacturers, financial institutions, and global organizations undergoing digital transformation.
Building a Global AI Engineering Leader
If the transaction is successfully completed, the combined organization is expected to generate approximately $2.9 billion in annualized revenue and employ more than 46,000 professionals across 40+ countries.
The enlarged company would bring together complementary strengths in AI-driven software engineering, cloud transformation, digital product development, ERP implementation, and enterprise modernization. The combined customer base is also expected to include several of Europe's leading automotive companies alongside major banking and financial institutions in North America, Europe, and India.
More Than Revenue: Buying Market Access
Industry experts view the proposed acquisition as a strategic move focused on long-term growth rather than simply increasing revenue.
By combining with Nagarro, Persistent gains immediate access to well-established enterprise relationships across Europe—relationships that could otherwise take years to develop organically. In addition to expanding its customer base, the company will strengthen its engineering talent pool and enhance its credibility in key international markets.
The transaction also reflects a broader trend among Indian technology companies that are increasingly pursuing global acquisitions to accelerate expansion, diversify their client portfolios, and strengthen their competitive position in high-value technology services.
Indian IT's Global Ambitions Continue to Grow
The announcement highlights the growing confidence of Indian technology firms in executing large international transactions. Over the past several years, Indian companies have evolved from being acquisition targets to becoming active global acquirers, particularly in software, engineering services, consulting, and digital transformation.
As demand for AI-powered enterprise solutions continues to grow, strategic acquisitions are becoming an important way for technology companies to expand capabilities, enter new markets, and serve multinational clients more effectively.
Integration Will Be the Key Challenge
While the deal presents significant growth opportunities, successful integration will be critical. Combining two global organizations requires aligning corporate cultures, retaining key talent, integrating operations, and delivering promised synergies to customers and shareholders.
Investors and industry analysts will closely monitor the transaction over the coming months as regulatory approvals progress and integration plans become clearer.
If completed successfully, the acquisition could become one of the defining moments in Persistent Systems' global expansion strategy and further strengthen India's position as a leading force in the international technology services industry.
